Pakistan’s telecom industry moved closer to a major consolidation on Wednesday after the Pakistan Telecommunication Authority (PTA) granted conditional approval to Pakistan Telecommunication Company Limited (PTCL) for its planned acquisition of Telenor Pakistan.
According to officials, the regulator had been awaiting confirmation from PTCL regarding its willingness to accept all conditions tied to the merger-and-acquisition review. PTCL has now agreed without any objections, clearing a significant regulatory hurdle that had stalled the deal for months. This development paves the way for the final regulatory phase of the multi-billion-rupee transaction, which is expected to have a strong impact on market competition as Pakistan prepares for its upcoming spectrum auction.

The PTA’s conditional approval indicates satisfaction with PTCL’s commitments on service continuity, consumer protection, network integration, and post-merger compliance. Industry analysts believe that once the transaction receives full approval, the PTCL Group will further solidify its position as the second-largest operator in the Pakistani telecom sector, while Telenor exits the market after nearly two decades of operations.
With PTCL’s unconditional acceptance now officially recorded, the merger process is anticipated to move forward quickly as remaining technical and procedural requirements are finalized.
